# Terms & Services

## 1. Introduction and Scope

Welcome to TrueNorth. TrueNorth is the trading name and brand of Advent AI, an exempted company incorporated with limited liability under the laws of the Cayman Islands on 26 February 2025 **(company number HS-419183; registered office: 4th Floor, Harbour Place, 103 South Church Street, P.O. Box 10240, Grand Cayman KY1-1002, Cayman Islands)** ("Advent AI," "TrueNorth," "we," "us," or "our").

**TrueNorth is an AI-powered multi-asset market intelligence and analytics platform that also provides a non-custodial trading interface.** The Services include, without limitation: market analysis and data visualisation across cryptocurrency and digital asset markets, U.S. equities, commodities, prediction markets, and derivatives (including cryptocurrency options); smart money tracking; research reports; AI-generated trade setup scenarios (including suggested entry and exit levels, take-profit and stop-loss parameters, and risk-to-reward ratios derived from technical analysis); a non-custodial trading interface that enables you to connect your own self-custodial wallets and your own accounts at third-party exchanges and to submit self-directed orders for execution by those third parties; and optional automated agent execution services (collectively, the "Services"). "Services" encompasses all current and future platforms, websites, applications, software, application programming interfaces ("APIs"), subscription plans, content, and functionalities provided by Advent AI under the TrueNorth brand.

You may access and use the Services solely through the interfaces that Advent AI officially provides and designates for that purpose (the "Authorised Interfaces"): **(a)** the official TrueNorth website at <https://truenorth.xyz> and its official subdomains; and **(b)** the official TrueNorth Telegram bot operated by Advent AI. Except for Programmatic Access Interfaces expressly licensed to you under Section 9, the Authorised Interfaces are the only means by which you are permitted to access the Services. Any access to the Services or their underlying systems through any other means is unauthorised and prohibited.

By accessing or using our Services, you confirm that you have read, understood, and accepted these Terms of Service (the "Terms") and, where published on the Site, our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you must not access or use our Services.

## 2. Changes to Terms

We may modify or update these Terms at any time. When material changes are made, we will notify you through platform announcements, in-app notifications, email, or other reasonable means. It is your responsibility to review these Terms periodically. Your continued use of the Services after any changes become effective shall constitute your acceptance of the revised Terms. If you do not agree with any revised Terms, your sole remedy is to discontinue use of the Services.

## 3. Eligibility, Account, and User Representations

### 3.1  Age and Capacity

To use our Services, you must be at least eighteen (18) years old or have reached the age of legal majority in your jurisdiction, whichever is higher. You represent and warrant that you have the legal capacity to enter into these Terms and, if you are acting on behalf of a legal entity, that you have the authority to bind that entity.

### 3.2 Account Registration and Security

Certain Services may require account registration. By registering, you represent and warrant that all information you provide is current, complete, and accurate, and you agree to update such information as necessary. Your account is for personal use only and shall not be shared with, transferred to, or used by any third party.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including any orders submitted through the Trading Interface (as defined in Section 5.7) and any actions taken by Agents (as defined in Section 5.8) deployed from your account. If you suspect any unauthorised use of your account, you must notify us immediately at <sub@adventai.io>.

### 3.3 Regulated Asset Classes and Trading Features

By accessing Services that cover U.S. equities, commodities, or other regulated asset classes, you represent and warrant that you are legally permitted to access market data and analysis for such asset classes in your jurisdiction.

By using the Trading Interface, you additionally represent and warrant that: **(a)** you have the legal capacity and authority to connect your wallets and third-party exchange accounts and to authorise transactions from them; **(b)** you understand that orders you submit are routed to independent third-party Execution Venues (as defined in Section 5.7) and that transactions are irreversible once confirmed on-chain or executed by the applicable venue; **(c)** you have satisfied, and will continue to satisfy, all eligibility, identity verification, and compliance requirements imposed by each Execution Venue you connect to; and **(d)** you accept sole responsibility for all orders submitted from your account.

### 3.4 Source of Funds and Anti-Money Laundering Representations

You represent, warrant, and covenant on a continuing basis that:

1. You lawfully own, or are duly authorised by the lawful owner to use, all digital assets, funds, and accounts you use in connection with the Services.
2. The digital assets and funds you use in connection with the Services are not derived from, and will not be used to finance or facilitate, any illegal activity, including without limitation money laundering, terrorist financing, sanctions evasion, tax evasion, fraud, corruption, bribery, or the financing of proliferation of weapons of mass destruction.
3. You have conducted appropriate due diligence and are satisfied as to the legitimacy and lawful origin of any digital assets or funds you use in connection with the Services, and you will maintain records sufficient to demonstrate such legitimacy if requested by Advent AI or any competent authority.
4. Neither you nor any person or entity that owns or controls you has been convicted of, or is currently under investigation for, any offence involving money laundering, terrorist financing, sanctions evasion, fraud, bribery, corruption, tax evasion, or any other financial crime in any jurisdiction.
5. You will promptly provide to Advent AI such information and documentation as Advent AI may reasonably request from time to time in order to comply with applicable anti-money laundering, counter-terrorist financing, sanctions, or other regulatory requirements. You acknowledge that failure to provide such information may result in Advent AI suspending, restricting, or terminating your access to the Services.
6. You will promptly notify Advent AI in writing if any representation or warranty in this Section 3.4 ceases to be true, accurate, or complete at any time.

### 3.5 Market Integrity Representations

You represent, warrant, and covenant that you will not, directly or indirectly, use the Services to engage in, facilitate, or attempt any form of market manipulation or abusive trading practice, including without limitation:

1. Wash trading, self-matching, or entering into transactions that involve no change in beneficial ownership.
2. Spoofing, including entering orders with the intent to cancel them before execution in order to create a false impression of supply or demand.
3. Layering, including entering multiple orders at different price levels to create a misleading appearance of market depth.
4. Front-running, including trading ahead of a known pending order of another market participant.
5. Pump-and-dump schemes, ramping, marking the close, or coordinated activity intended to artificially influence the price, volume, or market conditions of any asset.
6. Insider trading or trading on the basis of material non-public information in violation of applicable law.
7. Any other conduct that constitutes market abuse or market manipulation under applicable law or under the rules of any Execution Venue.

You acknowledge that any breach of this Section 3.5 constitutes a material breach of these Terms and may result in immediate suspension or termination of your access to the Services and referral to applicable law enforcement or regulatory authorities.

## 4. Geographic Restrictions and Sanctions Compliance

Due to legal and regulatory requirements, users in the following jurisdictions are strictly prohibited from accessing or using our Services:

• Cuba

• Iran

• North Korea (Democratic People’s Republic of Korea)

• Russia

• Belarus

• Myanmar (Burma)

• Venezuela

• Sudan

• South Sudan

• Somalia

• Libya

• Yemen

• The Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine, and the city of Sevastopol

• Any other jurisdiction or territory subject to comprehensive economic sanctions or trade embargoes imposed by the United States (including those administered by the Office of Foreign Assets Control ("OFAC")), the United Kingdom (including those administered under the Sanctions and Anti-Money Laundering Act 2018 and maintained on the UK Sanctions List), the European Union, the Republic of Singapore (including measures administered by the Monetary Authority of Singapore ("MAS") or imposed under the United Nations Act), or the United Nations Security Council.

You represent and warrant that:

1. Neither you, nor any person or entity that directly or indirectly owns or controls you, is subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including but not limited to: the OFAC Specially Designated Nationals and Blocked Persons List (SDN List); the OFAC Sectoral Sanctions Identifications List; the U.S. Department of Commerce Denied Persons List and Entity List; the UK Sanctions List (as published by FCDO and OFSI); the European Union Consolidated List of Sanctions; lists maintained by the Monetary Authority of Singapore or under the Singapore United Nations Act; or any equivalent list maintained by other applicable government authorities.
2. You are not located in, ordinarily resident in, organised under the laws of, or acting on behalf of any person or government in any of the above restricted jurisdictions, and you will not make the Services available to any person in such jurisdictions.
3. You will comply with all applicable sanctions laws, export controls, and trade restrictions in connection with your use of the Services.

We reserve the right, at our sole discretion, to restrict, suspend, or terminate access to the Services from any jurisdiction at any time and without prior notice. The use of virtual private networks (VPNs), proxy servers, or any other technical means to disguise, mask, or misrepresent your actual location in order to circumvent the above geographic restrictions is strictly prohibited and constitutes a material breach of these Terms.

Advent AI may employ IP-based geolocation, VPN and proxy detection, wallet address screening, and other technical controls to enforce the restrictions in this Section 4. Advent AI may also transmit your IP address and related connection metadata to Execution Venues and third-party protocol partners where necessary to enable those parties to enforce their own geographic and eligibility restrictions.

## 5. Service Description and Disclaimers

### 5.1 Market Intelligence Services

TrueNorth provides AI-powered multi-asset market intelligence covering the following asset classes and data types (collectively, "Covered Markets"):

1. Cryptocurrency and digital assets: token analysis, on-chain data analytics, smart money tracking, market trend analysis, and portfolio monitoring tools.
2. Cryptocurrency options and derivatives: options flow data, implied volatility analytics, open interest analysis, and derivatives market structure data.
3. U.S. equities: stock market data, equity analysis, sector and index tracking, and related research tools.
4. Commodities: commodity price data, market trend analysis, and related analytics.
5. Prediction markets: event-based market data, probability analytics, and order book data from third-party prediction market platforms.

The Services also include AI-generated trade setup scenarios, research reports, data visualisation tools, the Trading Interface (as defined in Section 5.7), and optional Agent Execution Services (as defined in Section 5.8). The Services are designed to aggregate, process, and present market data and analysis to assist users in their own independent research and decision-making. The availability of any particular Covered Market or feature may vary by subscription tier, geographic location, Execution Venue, or regulatory requirements.

### 5.2 Not Financial, Investment, Legal, or Tax Advice

ALL CONTENT, ANALYSIS, DATA, REPORTS, TRADE SETUP OUTPUTS, ORDER PARAMETERS, AGENT CONFIGURATIONS, AND OTHER OUTPUTS PROVIDED THROUGH THE SERVICES — WHETHER RELATING TO CRYPTOCURRENCY, U.S. EQUITIES, COMMODITIES, PREDICTION MARKETS, DERIVATIVES, OR ANY OTHER COVERED MARKET — ARE FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE, AND SHALL NOT BE CONSTRUED AS, INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, A RECOMMENDATION, A SOLICITATION TO ENTER INTO ANY TRANSACTION, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

You acknowledge and agree that:

1. Any decision to buy, sell, hold, trade, or otherwise deal in any cryptocurrency, digital asset, equity, commodity, derivative, prediction market position, or other financial instrument is solely your own decision and responsibility.
2. You should consult with a qualified and licensed financial adviser, tax professional, or legal counsel before making any investment or trading decision.
3. Past performance data, trends, or analytics presented through the Services are not indicative of future results.
4. Cryptocurrency and digital asset markets are highly volatile and speculative; you may lose some or all of your invested capital.
5. U.S. equities and commodities are subject to their own distinct risks, including market risk, regulatory risk, earnings risk, and macroeconomic risk; the provision of data and analysis relating to these asset classes through the Services does not reduce or alter those risks.
6. Prediction market data reflects the collective opinions of market participants regarding the probability of future events and does not constitute a factual prediction, forecast, or guarantee of any outcome. Prediction market positions may be illiquid and subject to resolution disputes.
7. Cryptocurrency options and derivatives carry risks in addition to those of the underlying asset, including time decay, implied volatility fluctuations, liquidity risk, and the risk of total loss of premium or margin.
8. Trade setup scenarios presented through the Services — including any entry prices, exit prices, take-profit levels, stop-loss levels, and risk-to-reward ratios — are generated by automated technical analysis algorithms and do not constitute personalised investment recommendations, solicitations to trade, or endorsements of any particular trading strategy or position. The presentation of specific price levels, ratios, or parameters does not imply any guarantee that such levels will be reached, that stop-loss levels will limit losses to any particular amount, or that the suggested risk-to-reward ratio reflects the actual probability of any outcome. You are solely responsible for determining whether any trade setup scenario is appropriate for your financial situation, risk tolerance, and investment objectives, and for conducting your own independent analysis before executing any trade.

### 5.3 AI-Generated Content

The Services use artificial intelligence, machine learning, large language models, and related technologies to generate content, analysis, outputs, Trade Setup Outputs, and — where you have opted in to Agent Execution Services — automated trading actions. You understand and agree that:

1\. You are interacting with automated systems and AI-generated outputs, which may include market analysis, trade setup scenarios, and Agent-initiated transactions.

2\. AI-generated outputs and Agent actions may be inaccurate, incomplete, outdated, misleading, poorly timed, or unsuitable for your specific purposes or market conditions.

3\. You bear sole responsibility for independently evaluating, verifying, and validating all AI-generated outputs before taking any action based thereon, and for monitoring and overseeing any Agents deployed from your account.

4\. Advent AI makes no representation or warranty as to the accuracy, completeness, reliability, timeliness, or suitability of any AI-generated output or Agent action, whether relating to cryptocurrency, equities, commodities, prediction markets, derivatives, or any other Covered Market.

### 5.4 Third-Party Services and Data

The Services may integrate with, link to, or display data from third-party content, tools, platforms, or services. Advent AI does not control, endorse, or assume any responsibility for any third-party services or the accuracy of third-party data. Your use of any third-party service is governed by that third party’s own terms and policies, and is entirely at your own risk.

### 5.5 Trade Setup Outputs and Risk Acknowledgment

(a) Nature of Trade Setup Outputs. The Services may generate trade setup scenarios that include suggested entry prices, exit prices, take-profit levels, stop-loss levels, position sizing guidance, and risk-to-reward ratios (collectively, "Trade Setup Outputs"). Trade Setup Outputs are produced by automated algorithms applying technical analysis methodologies to publicly available market data. They represent hypothetical, point-in-time analytical scenarios and not investment advice, trading signals, or recommendations to enter into any transaction.

(b) Non-Individualised Output. Trade Setup Outputs are generated algorithmically and are non-individualised. Identical Trade Setup Outputs are made available to all users viewing the same asset under the same market conditions and subscription tier. Advent AI does not tailor, rank, filter, personalise, or prioritise Trade Setup Outputs by reference to any user’s portfolio, holdings, transaction history, financial circumstances, risk appetite, investment experience, or investment objectives. Advent AI does not direct any Trade Setup Output to any particular user or group of users as a call to action.

(c) No Guarantee of Execution or Outcome. Trade Setup Outputs assume idealised market conditions, including sufficient liquidity, orderly price movement, and the ability to execute trades at or near the stated price levels. You acknowledge and agree that:

1\. Actual market conditions may differ materially from the assumptions underlying any Trade Setup Output, including due to slippage, gaps, exchange outages, sudden volatility, low liquidity, or market manipulation.

2\. Stop-loss levels indicated in Trade Setup Outputs may not limit your losses to the amount implied, particularly in fast-moving, illiquid, or manipulated markets where orders may be filled at prices significantly worse than the stated stop-loss level.

3\. Risk-to-reward ratios are mathematical expressions of the distance between specified price levels; they do not represent, predict, or imply the probability of any outcome.

4\. Trade Setup Outputs are generated based on conditions at the time of generation and are not dynamically updated; market conditions may change materially between the time a Trade Setup Output is generated and the time you attempt to act on it.

(d) Interaction with the Trading Interface. Where the Services permit you to populate an order in the Trading Interface using parameters derived from a Trade Setup Output, you acknowledge and agree that:

1\. All such parameters are presented as editable default values only. You may modify, override, or reject any parameter, including asset, direction, order type, size, price, leverage, and Execution Venue, prior to submission.

2\. No order is transmitted to any Execution Venue without your affirmative review and confirmation of the final order parameters.

3\. The population of order parameters is a convenience function that reduces manual data entry. It does not constitute a recommendation, solicitation, endorsement, or advice, and does not indicate that Advent AI has assessed the suitability of the transaction for you.

4\. Advent AI does not receive any compensation that is contingent upon whether you act on any Trade Setup Output, upon the asset or instrument you select, or upon the Execution Venue to which your order is routed. See Section 5.7(h).

5\. You remain solely responsible for evaluating each order before submission and for the consequences of every order you submit.

(e) Heightened Risks for Low-Liquidity, Small-Capitalisation, and Thinly Traded Assets. Certain assets, including newly listed tokens, low-market-capitalisation tokens, meme coins, tokens with thin order book depth, thinly traded equities (including penny stocks and micro-cap stocks), illiquid commodity contracts, and prediction market positions with low trading volume (collectively, "Higher-Risk Assets"), present risks that are materially elevated compared to more established and liquid assets. You acknowledge and agree that:

1\. Trade Setup Outputs for Higher-Risk Assets are inherently less reliable because technical analysis depends on consistent market microstructure, which may not exist for assets with low trading volume, concentrated holdings, limited market-maker participation, or insufficient price history.

2\. Higher-Risk Assets are disproportionately susceptible to price manipulation, including wash trading, spoofing, layering, pump-and-dump schemes, and coordinated social media campaigns, any of which may render technical analysis ineffective or misleading.

3\. The price of Higher-Risk Assets may be driven primarily by market structure, liquidity dynamics, or speculative momentum rather than by technical patterns, and Trade Setup Outputs may not adequately capture or reflect these non-technical factors.

4\. You may be unable to exit a position in a Higher-Risk Asset at or near the suggested exit or stop-loss level due to insufficient liquidity, resulting in losses materially greater than those implied by the Trade Setup Output.

Where the Services identify an asset as a Higher-Risk Asset, the Services may present additional risk disclosures or warnings prior to displaying Trade Setup Outputs. The presence, absence, or content of such additional warnings does not constitute a representation by Advent AI regarding the safety, suitability, or risk level of any asset or trade, and shall not be construed as an endorsement or recommendation of any asset for which no such additional warning is displayed.

(f) In-App Risk Acknowledgment. The Services may require you to affirmatively acknowledge specific risk disclosures before accessing certain features, including Trade Setup Outputs, the Trading Interface, and Trade Setup Outputs for Higher-Risk Assets ("Risk Acknowledgments"). By providing a Risk Acknowledgment, you confirm that:

1\. You have read and understood the applicable risk disclosure in its entirety.

2\. You understand the specific risks associated with the feature or asset class to which the Risk Acknowledgment relates.

3\. You accept sole responsibility for any trading or investment decisions you make after receiving a Trade Setup Output, regardless of whether such decision was informed by, based on, or consistent with the Trade Setup Output.

4\. Your Risk Acknowledgment constitutes a binding representation under these Terms, and you shall not subsequently claim that you were not adequately warned of the risks described in the applicable disclosure.

Advent AI reserves the right to introduce, modify, or remove Risk Acknowledgment requirements at any time, and the introduction of a Risk Acknowledgment for any feature or asset class shall not be construed as an admission that prior versions of the Services were insufficient or deficient in their risk disclosures.

(g) No Fiduciary or Advisory Relationship. Nothing in this Section 5.5, and no Trade Setup Output or Risk Acknowledgment, shall be construed as creating a fiduciary, advisory, broker-client, or similar relationship between you and Advent AI. Advent AI owes you no duty of care, suitability, or best execution in connection with any Trade Setup Output.

### 5.6 Asset-Class-Specific Risks and Regulatory Notices

The Services provide data and analysis across multiple asset classes. Each asset class carries distinct risks, and the regulatory frameworks governing each differ materially. You acknowledge and agree to the following:

(a) U.S. Equities.

1\. Market data, analysis, and Trade Setup Outputs relating to U.S. equities are provided for informational purposes only. Advent AI is not a registered broker-dealer, investment adviser, or member of FINRA, and the Services do not constitute a solicitation to buy or sell any security.

2\. U.S. equity markets are subject to regulation by the SEC and FINRA. Nothing in the Services should be interpreted as compliance with, or a substitute for compliance with, applicable securities laws and regulations.

3\. You are solely responsible for ensuring that any trading activity you undertake in U.S. equities complies with all applicable laws and regulations, including insider trading prohibitions, pattern day trader rules, and Regulation SHO.

(b) Commodities.

1\. Market data, analysis, and Trade Setup Outputs relating to commodities are provided for informational purposes only. Advent AI is not a registered commodity trading adviser, futures commission merchant, or swap dealer, and is not registered with or regulated by the CFTC.

2\. Commodity markets carry specific risks including leverage risk, margin call risk, delivery risk, and exposure to geopolitical and macroeconomic events that can cause sudden and extreme price movements.

3\. You are solely responsible for ensuring that any trading activity you undertake in commodities complies with all applicable laws, including CFTC regulations and applicable exchange rules.

(c) Prediction Markets.

1\. The Services may display data from third-party prediction market platforms, including event contract pricing, probability estimates, and order book data. This data reflects the opinions of prediction market participants and does not constitute a factual prediction or forecast by Advent AI.

2\. Prediction market contracts may be subject to uncertain or evolving regulatory treatment in various jurisdictions. The legal status of prediction market participation varies by jurisdiction, and it is solely your responsibility to determine whether participation in prediction markets is lawful in your jurisdiction.

3\. Prediction market positions are subject to unique risks including binary outcome risk (total loss of the amount wagered), resolution disputes, oracle failures, smart contract vulnerabilities, and counterparty risk inherent in the underlying prediction market platform.

4\. Advent AI does not operate, control, or guarantee the operation of any third-party prediction market platform. TrueNorth does not facilitate, broker, intermediate, or settle any prediction market positions or event contracts. Advent AI shall not be liable for any losses arising from the operation, resolution, or failure of any third-party prediction market platform.

(d) Cryptocurrency Options and Derivatives.

1\. The Services may provide data and analysis relating to cryptocurrency options and other derivative instruments, including options flow data, implied volatility analytics, open interest analysis, Greeks calculations, and derivatives market structure data.

2\. Cryptocurrency options and derivatives carry risks that are materially different from and in addition to the risks of spot cryptocurrency trading, including: time decay (theta risk); sensitivity to implied volatility changes (vega risk); non-linear price exposure (gamma risk); the possibility of total loss of premium paid; margin requirements and the risk of forced liquidation; and the amplified impact of underlying asset volatility on derivative positions.

3\. Perpetual contracts and other leveraged derivative positions accessible through the Trading Interface may be subject to automated risk-management mechanisms operated by the applicable Execution Venue, including auto-deleveraging, socialised-loss mechanisms, insurance fund drawdowns, and forced liquidation. Such mechanisms may reduce or close your positions, or reduce your profits, even where you would otherwise maintain adequate margin. Advent AI does not operate, control, or influence any such mechanism and shall have no liability in respect of any such action.

4\. Trade Setup Outputs relating to cryptocurrency options or derivatives may assume market conditions (such as implied volatility levels, bid-ask spreads, and available liquidity) that may not be present when you attempt to execute a trade.

5\. You represent that you understand the mechanics and risks of options and derivatives trading before accessing derivative-related features of the Services.

(e) Cross-Asset General Notice. The inclusion of any asset class within the Covered Markets does not constitute an endorsement, recommendation, or representation by Advent AI regarding the suitability, legality, or risk profile of that asset class for any user. The absence of specific risk warnings for any particular asset or asset class does not constitute a representation that such asset or asset class is safe, suitable, or lower risk. Asset class availability may be restricted by jurisdiction, subscription tier, Execution Venue, or regulatory requirements, and may be modified or discontinued at any time without notice.

### 5.7 Trading Interface Services

(a) Overview. The Services include a non-custodial trading interface (the "Trading Interface") that allows you to connect your own self-custodial wallets and your own accounts at third-party exchanges and trading venues, and to prepare, review, and submit self-directed orders for execution by those third parties. Use of the Trading Interface is optional; the market intelligence and analytics features of the Services are fully functional without it.

(b) Nature of the Trading Interface. Advent AI acts solely as a technology and software interface provider. You acknowledge and agree that Advent AI does not:

1\. hold, custody, control, or have access to your funds, tokens, digital assets, private keys, seed phrases, or wallet credentials at any time;

2\. operate an exchange, matching engine, order book, alternative trading system, or trading venue;

3\. match, execute, clear, or settle any order or transaction;

4\. act as a broker, dealer, intermediary, market maker, agent, or counterparty in respect of any transaction you submit;

5\. take possession of, or exercise discretion over, your orders, your assets, or the routing of your orders; or

6\. exercise any discretion over which transactions you submit or the parameters of those transactions.

(c) Execution Venues. Orders you submit through the Trading Interface are transmitted to independent third-party execution venues, which may include decentralised protocols, decentralised exchanges, liquidity pools, decentralised order books, perpetual futures protocols, and centralised exchanges (collectively, "Execution Venues"). The Trading Interface provides access to more than one Execution Venue, and you select the Execution Venue to which each order is routed. Advent AI has no control over the operation, availability, security, solvency, settlement, or performance of any Execution Venue.

(d) Self-Directed Transactions. Every order submitted through the Trading Interface originates with you. You determine the asset or instrument, the direction of the trade, the order type, the size, the price, any leverage, and the Execution Venue. All order parameters remain editable by you up to the point of submission, and every order requires your affirmative confirmation and, where applicable, your wallet signature or exchange authorisation before transmission. Advent AI does not submit any order absent your instruction.

(e) No Recommendation or Solicitation. The Trading Interface does not provide recommendations, advice, or solicitations. Advent AI does not assess the suitability or appropriateness of any transaction for you, does not consider your financial circumstances, risk tolerance, investment experience, or objectives, and does not steer, direct, or induce you toward any particular asset, instrument, transaction, or Execution Venue. Market data, analytics, and Trade Setup Outputs made available alongside the Trading Interface are non-individualised informational content as described in Section 5.5(b).

(f) Centralised Exchange Connections. Where the Trading Interface permits you to connect an account you hold at a centralised exchange (including by means of API keys, access tokens, or similar credentials), you acknowledge and agree that:

1\. Your relationship with that centralised exchange is governed exclusively by that exchange’s own terms of service, and you are solely responsible for complying with them.

2\. You must independently satisfy all identity verification, eligibility, jurisdictional, and compliance requirements imposed by that exchange. Advent AI does not perform, verify, or assume responsibility for any such requirement.

3\. Digital assets held in an account at a centralised exchange are held by that exchange and not by you in self-custody. Such assets are subject to the credit, operational, insolvency, and counterparty risk of that exchange. Advent AI does not hold, control, or have access to those assets.

4\. You are solely responsible for the generation, scope, security, and revocation of any API keys or credentials you provide. Advent AI strongly recommends that you issue credentials with trading permissions only and that you do not enable withdrawal or transfer permissions. Advent AI shall not be liable for any loss arising from credentials issued with permissions broader than necessary.

5\. A centralised exchange may at any time and without notice suspend, restrict, freeze, or close your account, halt trading, delist an asset, modify margin or leverage parameters, liquidate positions, or become insolvent. Advent AI has no control over and no liability for any such action.

6\. Order transmission to a centralised exchange depends on that exchange’s systems, connectivity, and rate limits. Advent AI does not warrant that any order will be received, accepted, executed, or executed at any particular price or time.

(g) Wallet Connections. Wallet connections between your self-custodial wallet and the Services (including via WalletConnect, browser wallet injection, hardware wallet interfaces, or any other connection protocol) rely on third-party wallet software and connection standards. Advent AI does not develop, maintain, audit, or control any third-party wallet software or connection protocol, and shall not be liable for any losses arising from vulnerabilities, exploits, bugs, or failures in your wallet software, wallet provider, or the connection protocol used to link your wallet to the Services. You are solely responsible for the security of your wallet, private keys, seed phrases, and any permissions, approvals, or allowances you grant.

(h) Compensation. Advent AI’s compensation in connection with the Trading Interface consists solely of subscription fees and platform fees paid by you, as described in Section 10. Advent AI does not accept payment for order flow. Advent AI does not receive any rebate, commission, revenue share, or other compensation from any Execution Venue that is contingent upon your selection of any particular asset, instrument, transaction, or Execution Venue, or upon the volume or direction of your trading activity. Where Advent AI participates in any builder code, referral, or partner programme operated by an Execution Venue, the existence and general nature of any resulting compensation arrangement will be disclosed within the Services.

(i) Irreversibility. Once a transaction is submitted to an Execution Venue and confirmed on the applicable blockchain, settlement layer, or exchange, it is irreversible. Advent AI cannot reverse, cancel, amend, or recover any confirmed transaction, including where you have entered an incorrect asset, quantity, price, direction, leverage, or address.

(j) User Responsibilities. By using the Trading Interface, you represent, warrant, and agree that:

1\. You have reviewed and understood each order, including all parameters, before confirming submission.

2\. You are solely responsible for setting appropriate risk parameters, position limits, leverage, and loss thresholds, and for monitoring your positions on an ongoing basis.

3\. You will maintain sufficient funds, tokens, collateral, or margin to cover any transaction you submit, and you accept sole responsibility for any shortfalls, failed transactions, margin calls, or liquidations resulting from insufficient balances.

4\. You will comply with the terms, rules, and eligibility criteria of every Execution Venue you connect to or route orders to.

5\. You will not use the Trading Interface to engage in any activity that violates these Terms, applicable law, or the terms of any Execution Venue, including any conduct prohibited by Section 3.5.

6\. You accept that the Trading Interface may malfunction, display inaccurate or stale data, experience latency, fail to transmit intended orders, or transmit orders that execute at prices materially different from those displayed, and that Advent AI shall not be liable for any such occurrence.

(k) Trading Interface Risks. In addition to the general risks described elsewhere in these Terms, use of the Trading Interface carries the following specific risks, which you acknowledge and accept:

1\. Execution risk: orders may be executed at prices materially different from those displayed at the time of submission due to latency, network congestion, slippage, or rapidly changing market conditions.

2\. Smart contract risk: orders routed to decentralised Execution Venues interact with smart contracts that may contain bugs, vulnerabilities, or exploits resulting in partial or total loss of funds.

3\. Venue risk: Execution Venues may experience downtime, congestion, governance disputes, oracle failures, liquidity crises, insolvency, hacks, or regulatory action that impairs your ability to execute, modify, or close positions.

4\. Counterparty risk: assets held at centralised Execution Venues are exposed to the credit and insolvency risk of those venues.

5\. Liquidation risk: leveraged positions may be liquidated in whole or in part by the applicable Execution Venue, including through automated risk-management mechanisms over which Advent AI has no control.

6\. Data risk: prices, order book depth, funding rates, and other market data displayed in the Trading Interface are sourced from third parties and may be delayed, inaccurate, or incomplete.

7\. Gas and network fee risk: on-chain transactions incur gas or network fees that may fluctuate significantly and are non-recoverable regardless of whether the underlying trade is profitable.

8\. Regulatory risk: the regulatory treatment of non-custodial trading interfaces and decentralised protocol access varies by jurisdiction and is subject to change. You are solely responsible for ensuring that your use of the Trading Interface complies with all laws and regulations applicable to you.

(l) No Fiduciary, Custodial, Brokerage, or Agency Relationship. Your use of the Trading Interface does not create a fiduciary, custodial, trust, brokerage, advisory, or agency relationship between you and Advent AI. Advent AI acts solely as a technology provider and owes you no duty of care, best execution, suitability, or loyalty in connection with the Trading Interface.

(m) Indemnification for Trading Activity. In addition to the general indemnification obligations set out in Section 15, you agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any order or transaction submitted from your account through the Trading Interface; (b) any violation of applicable law or Execution Venue terms resulting from your trading activity; or (c) any dispute with a third party arising from a transaction you initiated.

### 5.8 Agent Execution Services (Optional)

(a) Overview and Opt-In Nature. The Services may include optional Agent Execution Services that allow you to create, configure, and deploy automated trading agents ("Agents"). Agent Execution Services are distinct from the Trading Interface described in Section 5.7 and are entirely opt-in. You are not required to use them, and the intelligence, analytics, and Trading Interface features of the Services are fully functional without them. Agent Execution Services may not be available in all jurisdictions or to all users. By opting in to Agent Execution Services, you agree to the terms set out in this Section 5.8 in addition to all other provisions of these Terms.

(b) What Agents Do. Agents are automated software tools that, based on your configuration, parameters, and instructions, may: analyse market data across Covered Markets; generate and evaluate trade setup scenarios; and submit orders on your behalf to Execution Venues. Agents operate as your instrument and under your authority. Any action taken by an Agent deployed from your account shall be deemed your action for all purposes under these Terms.

(c) Non-Custodial Architecture. Agent Execution Services operate on a strictly non-custodial basis. Advent AI does not at any time hold, custody, control, or have access to your funds, tokens, digital assets, private keys, seed phrases, or wallet credentials. All transactions initiated by Agents require your wallet signature or prior authorisation through your connected wallet or exchange credentials.

(d) User Responsibilities. By deploying an Agent, you represent, warrant, and agree that:

1\. You have reviewed and understood the Agent’s configuration, parameters, and permitted actions before deployment, and you accept responsibility for the Agent’s actions within those parameters.

2\. You are solely responsible for setting appropriate risk parameters, position limits, and loss thresholds for each Agent, and for monitoring the Agent’s activity on an ongoing basis.

3\. You understand that Agents operate autonomously within their configured parameters and may execute transactions without requiring your approval for each individual transaction, depending on the permissions you have granted.

4\. You will maintain sufficient funds, tokens, or margin to cover any transactions the Agent may initiate, and you accept sole responsibility for any shortfalls, failed transactions, or liquidations resulting from insufficient balances.

5\. You will not deploy Agents to engage in any activity that violates these Terms, applicable law, or the terms of any Execution Venue, including any conduct prohibited by Section 3.5.

6\. You accept that Agents may malfunction, execute trades based on inaccurate data, experience latency, fail to execute intended trades, or execute trades at prices materially different from expected prices, and that Advent AI shall not be liable for any such occurrences.

(e) Agent Risks. In addition to the risks described in Section 5.7(k), Agent Execution Services carry the following specific risks, which you acknowledge and accept:

1\. Continuous operation risk: Agents may operate continuously, including outside of your active monitoring. Market conditions may change adversely during periods when you are not actively monitoring the Agent, resulting in losses that exceed your expectations.

2\. Compounding error risk: An Agent operating on flawed analysis, outdated data, or in abnormal market conditions may execute a series of adverse transactions in rapid succession before you are able to intervene.

3\. Autonomy risk: Agents may execute transactions without per-transaction approval, and the volume, frequency, and size of such transactions may exceed your expectations.

(f) In-App Consent and Risk Acknowledgment. Before activating Agent Execution Services, the Services will require you to complete a separate, affirmative opt-in process and acknowledge the specific risks described in this Section 5.8 ("Agent Risk Acknowledgment"). The Agent Risk Acknowledgment constitutes a binding representation under these Terms. You may revoke your opt-in and deactivate Agent Execution Services at any time; however, revocation shall not affect any transactions already submitted or confirmed prior to deactivation.

(g) Emergency Stop and Agent Deactivation. The Services will provide you with the ability to pause or deactivate any Agent at any time through the platform interface ("Emergency Stop"). You acknowledge and agree that: (i) deactivation is not instantaneous and depends on network conditions, transaction confirmation times, and system processing; (ii) an Agent may submit one or more transactions after you initiate an Emergency Stop but before the stop takes effect; (iii) Advent AI shall not be liable for any transactions submitted, confirmed, or settled during the interval between your initiation of an Emergency Stop and its completion; and (iv) it is your responsibility to use the Emergency Stop promptly if an Agent is behaving unexpectedly, and to set appropriate risk parameters as a primary risk control rather than relying solely on the ability to manually intervene.

(h) Agent Execution Logs and Record Retention. Advent AI will maintain logs of Agent deployment configurations, executed transactions, and material Agent activity for a period of not less than twelve (12) months from the date of the relevant activity, or such longer period as may be required by applicable law or regulation. You may request access to your Agent execution logs through the Services or by contacting us at <sub@adventai.io>. You are responsible for maintaining your own independent records of Agent configurations, risk parameters, and trading activity for your own compliance, tax, and record-keeping purposes. Advent AI reserves the right to provide Agent execution logs to regulatory authorities, law enforcement, or courts of competent jurisdiction as required by applicable law, without prior notice to you except where prohibited by law.

(i) No Fiduciary, Custodial, or Agency Relationship. Notwithstanding any use of the term "Agent" or "on behalf of" in these Terms or in the Services, the deployment of an Agent does not create a fiduciary, custodial, trust, brokerage, or agency relationship (within the meaning of applicable law) between you and Advent AI. Agents are software tools operating under your direction and authorisation. Advent AI acts solely as a technology provider and does not owe you any duty of care, best execution, suitability, or loyalty in connection with Agent Execution Services.

(j) Indemnification for Agent Activity. In addition to the general indemnification obligations set out in Section 15, you agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any transaction executed by an Agent deployed from your account; (b) any violation of applicable law or Execution Venue terms resulting from Agent activity; or (c) any dispute with a third party arising from an Agent-initiated transaction.

### 5.9 Third-Party Venue and Protocol Eligibility Restrictions

(a) Additional Restrictions May Apply. Certain products, features, instruments, assets, or Execution Venues accessible through the Services are operated by third-party protocol partners and are subject to eligibility criteria, geographic restrictions, and compliance requirements imposed by those third parties. Such restrictions are additional to, and may be materially broader than, the restrictions set out in Section 4.

(b) Your Obligations. Where you access any such product, feature, or Execution Venue, you represent, warrant, and agree that:

1\. You have reviewed and satisfy all eligibility criteria imposed by the relevant third party, including any jurisdictional, residency, citizenship, accreditation, or identity verification requirements.

2\. You have accepted and will comply with that third party’s own terms of service, and you acknowledge that those terms govern your relationship with that third party.

3\. You are not a person prohibited or restricted from accessing that product, feature, or Execution Venue under the relevant third party’s eligibility criteria.

4\. You will not use any virtual private network, proxy, or other technical means to circumvent any geographic or eligibility restriction imposed by any third party.

(c) Enforcement and Information Sharing. Advent AI will identify third-party eligibility restrictions within the Services where practicable, and may restrict, gate, or disable access to particular products, features, or Execution Venues on a jurisdiction-specific or user-specific basis. Advent AI may transmit your IP address, connection metadata, wallet address, and related information to Execution Venues and protocol partners to enable those parties to enforce their own eligibility, geographic, and sanctions controls. Advent AI does not warrant that any third party will accept, process, or execute any order you submit.

(d) No Liability. Advent AI shall have no liability arising from or relating to: (i) any determination by a third party that you are ineligible to access its products or services; (ii) any restriction, suspension, freezing, or termination of your access or assets by a third party; or (iii) your failure to satisfy any third-party eligibility criterion.

### 5.10 Automated Decision-Making (EU/UK Users)

If you are located in the European Union or the United Kingdom, the following provisions apply in addition to the rest of these Terms, to the extent required by the GDPR (Regulation (EU) 2016/679) or the UK GDPR:

1\. Automated processing: The Services use automated algorithms and AI models to generate Trade Setup Outputs, risk classifications (including Higher-Risk Asset designations), and — where you have opted in — Agent-initiated transactions. These processes involve automated decision-making as described in Article 22 of the GDPR.

2\. Basis for automated processing: Where automated decision-making produces legal or similarly significant effects, the processing is based on your explicit consent (provided when you accept these Terms and when you opt in to specific features such as Agent Execution Services) and is necessary for the performance of the contract between you and Advent AI.

3\. Your rights: You have the right to: (a) obtain meaningful information about the logic involved in automated decision-making, including the general methodology of the algorithms used to generate Trade Setup Outputs and Agent actions (without requiring disclosure of proprietary algorithms or trade secrets); (b) request human review of any automated decision that you believe has produced legal or similarly significant effects on you; and (c) express your point of view and contest the outcome of any such decision.

4\. How to exercise these rights: To request information about automated processing, request human review, or exercise any other right under Article 22, please contact us at <sub@adventai.io>. Advent AI will respond to such requests in accordance with the timeframes specified in the GDPR.

5\. Limitations: Trade Setup Outputs, the Trading Interface, and Agent Execution Services are informational and automation tools that assist your own decision-making. To the extent that you retain full control over whether to act on any Trade Setup Output, whether to submit any order, and whether to deploy, configure, or deactivate any Agent, such outputs and services may not constitute automated decision-making with legal or similarly significant effects within the meaning of Article 22. However, Advent AI provides the rights described above as a precautionary measure.

## 6. Regulatory Status and Jurisdiction-Specific Notices

### 6.1 General Regulatory Status

Advent AI is not a registered or licensed investment adviser, broker-dealer, commodity trading adviser, futures commission merchant, swap dealer, financial planner, or fiduciary under the laws of any jurisdiction, including the Cayman Islands, the United States, the United Kingdom, the European Union, or Singapore. Advent AI does not hold any licence issued by the Cayman Islands Monetary Authority ("CIMA") under the Securities Investment Business Act, the Virtual Asset (Service Providers) Act, or any equivalent regulatory framework. Advent AI is not registered with, and the Services are not approved by, the U.S. Securities and Exchange Commission ("SEC"), the U.S. Commodity Futures Trading Commission ("CFTC"), the Financial Industry Regulatory Authority ("FINRA"), the UK Financial Conduct Authority ("FCA"), the Monetary Authority of Singapore ("MAS"), or any equivalent regulatory authority in any jurisdiction. The provision of market data, analysis, Trade Setup Outputs, or the Trading Interface in relation to any regulated asset class does not imply registration, licensing, or regulatory oversight by any authority governing those markets.

### 6.2 United States — Non-Custodial User Interface

Advent AI operates the Trading Interface as a non-custodial software interface. In doing so, Advent AI seeks to operate consistently with the framework described in the statement issued by the staff of the SEC Division of Trading and Markets on 13 April 2026 regarding non-custodial user interfaces for crypto asset transactions. In particular, and without limiting Section 5.7:

1\. The Trading Interface is non-custodial. Advent AI never holds, controls, or has access to user assets, private keys, or credentials.

2\. All transactions are self-initiated by the user and submitted through the user’s own self-custodial wallet or the user’s own account at a third-party venue.

3\. All order parameters are user-customisable and remain editable until the user affirmatively confirms submission.

4\. The Trading Interface provides access to more than one Execution Venue, and the user selects the venue.

5\. Advent AI does not make recommendations, does not solicit transactions, and does not assess suitability.

6\. Advent AI does not handle, hold, or take possession of user orders, funds, or assets, and does not match, execute, clear, or settle transactions.

7\. Advent AI does not accept payment for order flow and receives no compensation from any Execution Venue contingent upon a user’s selection of any asset, instrument, or venue.

8\. Advent AI relies on pre-disclosed, objective parameters and does not exercise control over transaction outcomes, market information presented, or routing decisions.

You acknowledge that: (i) staff statements and no-action positions do not carry the force of law, do not bind the SEC or any court, and may be modified, withdrawn, or permitted to expire; (ii) the staff position referenced above is stated to expire five years from its date of issuance; and (iii) nothing in this Section 6.2 constitutes a representation that any particular transaction, asset, or feature is exempt from registration or regulation. Advent AI reserves the right to modify, restrict, or discontinue any feature of the Services in response to regulatory developments.

### 6.3 United Kingdom

Advent AI is not authorised or regulated by the FCA. The Trading Interface is provided on a self-directed, execution-only basis. Advent AI does not provide investment advice, does not make personal recommendations, and does not arrange deals in investments or qualifying cryptoassets on your behalf beyond providing software that transmits your self-directed orders to venues you select. Nothing in the Services is intended to constitute a financial promotion under section 21 of the Financial Services and Markets Act 2000. Advent AI is monitoring the UK cryptoasset regulatory regime established under the Financial Services and Markets Act 2000 (Cryptoassets) Regulations 2026 and may restrict, gate, or discontinue features for UK users in advance of that regime taking effect.

### 6.4 European Union

Advent AI is not authorised as a crypto-asset service provider ("CASP") under Regulation (EU) 2023/1114 on markets in crypto-assets ("MiCA") and does not hold any authorisation or passport under MiCA. Advent AI does not actively solicit or market the Trading Interface to persons in the European Union. Advent AI may restrict, gate, or discontinue features for users in the European Union or European Economic Area at any time. If you access the Services from the European Union, you do so on your own initiative and are solely responsible for compliance with applicable local law.

### 6.5 Singapore

Advent AI is not licensed or regulated by MAS under the Payment Services Act 2019, the Financial Services and Markets Act 2022, or the Securities and Futures Act 2001, and does not hold any digital payment token service or digital token service provider licence. Certain features of the Services, including the Trading Interface and Agent Execution Services, may not be available to users located in Singapore. Nothing in these Terms limits or excludes any right you may have under the Personal Data Protection Act 2012 (PDPA) or other mandatory Singapore legislation that cannot be contractually waived.

### 6.6 Cayman Islands

Advent AI is an exempted company incorporated under the laws of the Cayman Islands. Advent AI is not registered or licensed with CIMA under the Virtual Asset (Service Providers) Act (as revised) ("VASPA") on the basis that Advent AI does not provide virtual asset custody services and does not operate a virtual asset trading platform. Advent AI monitors the scope of VASPA and may register or apply for licensing with CIMA if required. Any change in Advent AI’s regulatory status will be reflected in an updated version of these Terms.

### 6.7 Your Responsibility

The regulatory treatment of the Services varies by jurisdiction and is subject to change. It is your sole responsibility to determine whether your access to and use of the Services is lawful in your jurisdiction and to comply with all laws, regulations, licensing requirements, and tax obligations applicable to you. Advent AI does not represent that the Services are appropriate or available for use in any particular jurisdiction.

## 7. Acceptable Use

You agree to use the Services solely in accordance with these Terms and all applicable laws and regulations. Without our express prior written consent, you shall not:

1\. Copy, reproduce, rent, lease, loan, assign, distribute, sell, resell, publicly display, or create derivative works of the Services, in whole or in part.

2\. Use scripts, bots, crawlers, scrapers, or other automated tools to extract, mine, scrape, harvest, or download any data or content from the Services.

3\. Decompile, disassemble, reverse engineer, or attempt to derive the source code, algorithms, models, or technical methods underlying the Services.

4\. Use the Services to create, support, or operate a competing product or service, or use the Services for benchmarking, competitive analysis, or similar purposes.

5\. Use data from the Services to develop, train, fine-tune, or evaluate artificial intelligence models, machine learning models, or related technologies, unless expressly authorised under a separate API agreement with Advent AI.

6\. Probe, scan, or test the security or vulnerabilities of the Services, or attempt to circumvent, disable, or interfere with any security, authentication, or access-control mechanisms.

7\. Use the Services in any manner that violates applicable anti-money laundering, counter-terrorism financing, or sanctions laws and regulations.

8\. Use the Services to engage in market manipulation, fraud, or any other unlawful activity, including any conduct prohibited by Section 3.5.

9\. Submit orders, or deploy or configure Agents, to engage in wash trading, spoofing, layering, front-running, or any other activity that constitutes market manipulation or is prohibited under applicable law or the terms of any Execution Venue.

10\. Submit orders or deploy Agents with the intent to exploit vulnerabilities in smart contracts, Execution Venues, oracles, or other third-party infrastructure.

11\. Attempt to circumvent or override the risk parameters, rate limits, or safety controls applied by the Services or by any Execution Venue.

12\. Use any virtual private network, proxy, or other technical means to circumvent any geographic, jurisdictional, or eligibility restriction applied by Advent AI or by any Execution Venue or protocol partner.

13\. Access, or attempt to access, the Services through any means other than the Authorised Interfaces defined in Section 1 or a Programmatic Access Interface expressly licensed to you under Section 9.

14\. Access, or attempt to access, the Services by any automated or programmatic means (other than through a Programmatic Access Interface expressly licensed to you under Section 9), or reuse the access made available to you through the Authorised Interfaces to reach the Services through any other application, script, bot, or tool. The access made available through the Authorised Interfaces is provided solely to operate those interfaces and does not constitute, and may not be used as, Programmatic Access under Section 9.

Advent AI may monitor use of the Services to detect access that is not made through the Authorised Interfaces or a Programmatic Access Interface licensed under Section 9, including any unauthorised automated or programmatic access. If Advent AI detects, or reasonably suspects, any such unauthorised access or any other breach of this Section 7, Advent AI may, at its sole discretion and without prior notice, throttle, suspend, restrict, or permanently terminate your access to the Services and revoke any affected access or credentials. In such case, any unused Credits shall be forfeited and shall expire without refund, and any fees paid are non-refundable, except, in each case, to the extent a refund is required by applicable law. This remedy is in addition to, and not in lieu of, any other rights or remedies available to Advent AI under these Terms or at law.

## 8. Intellectual Property

All content, software, algorithms, models, images, text, graphics, charts, data compilations, trademarks, service marks, trade names, logos, patents, and related intellectual property rights embodied in or associated with the Services ("TrueNorth Content") are owned by or licensed to Advent AI. All rights are reserved.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, personal, non-transferable, non-sublicensable licence to access and use the Services for your own internal purposes. Except as expressly permitted under Section 9 or under a separate written agreement with Advent AI, you may not use the Services, or any TrueNorth Content, for the purpose of providing any product or service to any third party, or otherwise for external commercial exploitation. This licence does not include any right to modify, reproduce, distribute, or create derivative works based on the TrueNorth Content.

For the avoidance of doubt, the restriction on external commercial exploitation in this Section 8 does not apply to your use of Programmatic Access Interfaces, which is governed instead by the licence granted in Section 9.1, the restrictions in Section 9.4, and any separate API agreement between you and Advent AI.

## 9. Programmatic Access: API, MCP, and CLI

Advent AI may offer programmatic access to certain Services through one or more of the following interfaces (collectively, "Programmatic Access Interfaces"):

1\. Application Programming Interfaces ("APIs"): RESTful APIs, WebSocket APIs, and other HTTP-based interfaces that allow third-party applications and services to interact with the Services programmatically.

2\. Model Context Protocol ("MCP"): MCP server integrations that enable large language models and AI-powered tools to access TrueNorth’s data and functionalities through the Model Context Protocol standard, including tool definitions, resource endpoints, and prompt capabilities exposed via MCP.

3\. Command Line Interface ("CLI"): Terminal-based tools and command line utilities provided by Advent AI that allow users to interact with the Services, retrieve data, deploy Agents, and manage account functions from a command line environment.

Access to any Programmatic Access Interface is subject to these Terms and the following additional conditions. References to "the API" or "API access" in this Section 9 shall be read as applying equally to all Programmatic Access Interfaces unless the context requires otherwise.

For the avoidance of doubt, Programmatic Access is permitted only through Access Credentials that Advent AI issues to you specifically for that purpose (such as an API key or MCP authentication token), and, where applicable, under a separate API agreement. The access made available through the Authorised Interfaces (the website and Telegram bot) is not an Access Credential, does not constitute a grant of Programmatic Access, and may not be used to access the Services by automated or programmatic means. Using the access made available through the Authorised Interfaces outside those interfaces is a breach of Section 7.

### 9.1 Licence

Subject to your compliance with these Terms, Advent AI grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Programmatic Access Interfaces solely for the purposes authorised by Advent AI. Access may require separate registration, approval, and the issuance of API keys, access tokens, or other credentials ("Access Credentials").

### 9.2 Access Credentials and Security

You are responsible for maintaining the confidentiality and security of all Access Credentials, including API keys, MCP authentication tokens, and CLI login sessions. You shall not share, publish, embed in public repositories, or disclose your Access Credentials to any third party. Any use of a Programmatic Access Interface through your Access Credentials shall be deemed your use and your responsibility. If you suspect any unauthorised use of your Access Credentials, you must notify Advent AI immediately at <sub@adventai.io>.

### 9.3 Rate Limits and Fair Use

Advent AI may impose rate limits, usage quotas, concurrency limits, and other technical restrictions on Programmatic Access Interfaces. These limits may differ between the API, MCP, and CLI and may vary by subscription tier. You agree not to circumvent or attempt to circumvent any rate limits or usage restrictions. Advent AI reserves the right to throttle, suspend, or terminate access to any Programmatic Access Interface at any time if usage patterns are deemed excessive, abusive, or inconsistent with fair use.

### 9.4 Restrictions on Programmatic Access

In addition to the restrictions set out in Section 7, you shall not:

1\. Use any Programmatic Access Interface to create a product or service that is substantially similar to, or competitive with, the Services.

2\. Redistribute, resell, or sublicence data or outputs obtained through any Programmatic Access Interface to third parties without Advent AI’s prior written consent.

3\. Use any Programmatic Access Interface to develop, train, or improve artificial intelligence or machine learning models without Advent AI’s express written authorisation.

4\. Use any Programmatic Access Interface in a manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use of the Services.

5\. Distribute, modify, or create derivative works of the CLI software or MCP server definitions without Advent AI’s express written consent.

6\. Use MCP integrations to expose TrueNorth data or functionality to unauthorised third-party applications, models, or services, or to chain MCP tool calls in a manner designed to circumvent rate limits or access controls.

### 9.5 MCP-Specific Terms

**(a) MCP Tool Definitions**. Advent AI may publish MCP tool definitions, resource schemas, and prompt templates that describe TrueNorth’s capabilities in the MCP format. These definitions are TrueNorth Content and are subject to the intellectual property provisions of Section 8. You may use them solely for the purpose of integrating with the Services through MCP-compatible clients.

**(b) Third-Party MCP Clients.** You may access the Services through third-party MCP-compatible clients, hosts, or AI applications. Advent AI does not control, endorse, or warrant the operation of any third-party MCP client, and shall not be liable for any errors, data loss, or security vulnerabilities arising from the use of third-party MCP clients. Your use of third-party MCP clients is at your own risk and subject to that third party’s own terms.

**(c) Data Handling in MCP Context.** When you access the Services via MCP, data and outputs may be processed by the MCP host application (including third-party large language models) in addition to TrueNorth’s systems. Advent AI is not responsible for how third-party MCP hosts process, store, or use data retrieved from the Services. You are responsible for ensuring that your use of TrueNorth data through MCP clients complies with these Terms and any applicable data protection requirements.

### 9.6 CLI-Specific Terms

**(a) CLI Software.** The CLI is software provided by Advent AI for installation on your local device. Your use of the CLI is subject to the licence terms in Section 8 and this Section 9. You may not reverse engineer, decompile, or disassemble the CLI software.

**(b) Local Credentials Storage.** The CLI may store Access Credentials locally on your device to enable persistent sessions. You are solely responsible for the security of your device and for preventing unauthorised access to locally stored credentials. Advent AI recommends using environment variables or secure credential stores rather than plaintext configuration files.

**(c) CLI Updates.** Advent AI may release updates to the CLI from time to time. Certain updates may be required for continued access to the Services. Advent AI is not liable for any issues arising from your use of outdated CLI versions.

**(d) CLI Data Export Restrictions**. The CLI is provided for interactive use and programmatic integration within the scope of your subscription. You shall not use the CLI to systematically bulk-export, bulk-download, or mass-harvest data from the Services in a manner that replicates or substitutes for a database of TrueNorth Content, circumvents rate limits or usage quotas, or achieves a result substantially equivalent to the prohibited automated scraping described in Section 7. Advent AI reserves the right to impose export limits, throttle CLI data retrieval, or suspend CLI access if bulk-export activity is detected.

### 9.7 Data Attribution

Where required by Advent AI, you agree to provide appropriate attribution when displaying or using data obtained through any Programmatic Access Interface, in accordance with the branding and attribution guidelines we may provide from time to time.

### 9.8 Changes to Programmatic Access Interfaces

Advent AI reserves the right to modify, deprecate, or discontinue any Programmatic Access Interface (or any part thereof), including API endpoints, MCP tool definitions, and CLI commands, at any time, with or without notice. Advent AI shall not be liable for any losses or damages arising from changes to or discontinuation of any Programmatic Access Interface.

## 10. Fees and Subscriptions

### 10.1 Subscription Plans

The Services are available under free and paid subscription tiers. Each paid subscription tier provides access to specified features, Covered Markets, and a monthly allocation of usage credits ("Credits"), as described on the applicable pricing page at the time of subscription. Advent AI reserves the right to modify the features, Covered Markets, Credit allocations, or pricing associated with any subscription tier at any time upon reasonable notice. Your continued use of the Services after any such change constitutes acceptance of the modified terms.

### 10.2 Credits and Usage

Credits are consumed when you use certain features of the Services, including AI-powered queries, Trade Setup Output generation, Trading Interface usage, Agent deployment and operation, and other compute-intensive features as specified on the applicable pricing page. Credit consumption rates may vary by feature and may be updated from time to time. Your current Credit balance and consumption history will be available within the Services.

### 10.3 Credit Top-Ups

If you exhaust your monthly Credit allocation before the end of your billing cycle, you may purchase additional Credits ("Top-Up Credits") at the rates displayed in the Services at the time of purchase. Top-Up Credits are added to your account upon payment and are subject to the same usage terms as Credits included in your subscription. Top-Up Credits purchased within a billing cycle do not roll over to subsequent billing cycles unless expressly stated otherwise.

### 10.4 Credit Expiration and Non-Transferability

Unless expressly stated otherwise: (a) Credits included in your monthly subscription allocation that are unused at the end of a billing cycle do not roll over to subsequent billing cycles and expire without compensation; (b) Credits and Top-Up Credits are non-transferable and may not be sold, exchanged, or assigned to any other account or person; and (c) Credits have no cash value and are not redeemable for cash, refunds, or any other form of compensation.

### 10.5 Billing and Renewal

Paid subscriptions are billed on a monthly recurring basis on the calendar anniversary of your initial subscription date ("Billing Date"). Subscriptions automatically renew for successive monthly periods unless you cancel before your next Billing Date. If payment for renewal fails, Advent AI may suspend or restrict access to paid features until payment is received, without liability for any resulting interruption.

### 10.6 Payment Processing and Billing Entities

Payments for the Services may be collected and processed by Advent AI or by an affiliated entity acting as payment collection agent on behalf of Advent AI, including ADVENT AI PTE. LTD., a company incorporated in Singapore (UEN: 202523238G; registered office: 36 Robinson Road, #20-01, City House, Singapore 068877). Advent AI may appoint additional affiliated entities as payment collection agents in other jurisdictions from time to time. Charges may therefore appear on your statement under the name of an affiliated entity or its payment processor.

Payment processing by an affiliated entity is undertaken solely for administrative and payment-collection purposes. It does not alter the contracting relationship established by these Terms, does not make any affiliated entity a party to these Terms in place of Advent AI, and does not constitute the provision of the Services by that affiliated entity. Advent AI remains your counterparty and the provider of the Services for all purposes under these Terms.

Advent AI may change the entity or payment processor used to collect fees at any time. Any such change will be reflected in your billing statements and, where material, notified to you in accordance with Section 2.

### 10.7 Cancellation and Downgrades

You may cancel or downgrade your subscription at any time through your account settings. Cancellation or downgrade takes effect at the end of your current billing cycle; you retain access to paid features until then. No partial refunds, pro-rata refunds, or credits will be issued for the remainder of a billing cycle following cancellation or downgrade, except where required by applicable law.

### 10.8 Refund Policy

All fees, including subscription fees and Top-Up Credit purchases, are non-refundable except where required by applicable law. Advent AI may, at its sole discretion, issue refunds or account credits on a case-by-case basis, but is under no obligation to do so.

### 10.9 Taxes

All fees are exclusive of applicable taxes, duties, and levies. You are responsible for all applicable taxes associated with your subscription and purchases, except for taxes on Advent AI’s net income. If Advent AI is required by law to collect taxes, the applicable amount will be added to your invoice. You are solely responsible for determining and discharging any tax liability arising from your trading activity.

### 10.10 Programmatic Access and Credits

Where access to Programmatic Access Interfaces (as described in Section 9) is available under a paid subscription, usage of the API, MCP, and CLI may consume Credits at rates specified on the applicable pricing page. Credit consumption rates may differ between Programmatic Access Interfaces and the platform interface, and may vary by interface type, query complexity, and data volume. Programmatic Access Interface usage is subject to the additional terms set out in Section 9.

### 10.11 Price Changes

Advent AI may adjust subscription fees and Credit pricing at any time. For existing subscribers, fee increases will take effect at the start of the next billing cycle following at least thirty (30) days’ prior notice. Your continued use of paid Services after a fee increase takes effect constitutes acceptance of the new fees. If you do not agree to a fee increase, your sole remedy is to cancel your subscription before the increased fee takes effect.

### 10.12 Payment Disputes and Chargebacks

Credits and Top-Up Credits that have been consumed constitute delivered digital services. You agree not to initiate a chargeback, payment dispute, or reversal with your bank, credit card issuer, or payment provider for any fees corresponding to Credits that have been consumed or services that have been delivered. If you believe a charge is incorrect, you agree to contact Advent AI at <sub@adventai.io> to resolve the issue before initiating any dispute with your payment provider. If you initiate a chargeback or payment dispute for consumed Credits or delivered services, Advent AI reserves the right to immediately suspend or terminate your account, recover any Credits or services wrongfully obtained, and pursue any available legal remedies. Repeated or fraudulent chargebacks constitute a material breach of these Terms.

### 10.13 Promotional and Referral Credits

Advent AI may from time to time offer promotional credits, referral credits, sign-up bonuses, or other credit incentives ("Promotional Credits") subject to the terms and conditions specified in the applicable promotion or referral programme. Unless expressly stated otherwise in the applicable programme terms: (a) Promotional Credits are granted at Advent AI’s sole discretion and may be modified, capped, or discontinued at any time; (b) Promotional Credits expire on the date specified in the applicable programme terms, or if no date is specified, ninety (90) days after issuance; (c) Promotional Credits have no cash value and are not redeemable for cash, refunds, or any other form of compensation; (d) Promotional Credits are non-transferable and are valid only for the account to which they are issued; (e) Promotional Credits will be consumed before paid Credits and Top-Up Credits in your account; and (f) abuse of any referral or promotional programme — including creation of duplicate accounts, self-referrals, or automated referral generation — will result in forfeiture of all Promotional Credits and may result in account suspension or termination. Any terms specified in an individual promotion or referral programme shall supplement but not override these Terms unless the programme terms expressly state otherwise in a written amendment signed by an authorised representative of Advent AI.

## 11. User Feedback

Any questions, suggestions, ideas, comments, or other feedback you voluntarily provide to us regarding the Services ("Feedback") shall be deemed non-confidential and non-proprietary. By submitting Feedback, you irrevocably grant Advent AI a perpetual, worldwide, royalty-free, fully paid-up, fully transferable, and sublicensable licence to use, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit such Feedback for any purpose, without attribution or compensation to you. This licence applies to the ideas, suggestions, and concepts contained in Feedback, but does not override Advent AI’s obligations under the Privacy Policy with respect to any personal data that may be included in or associated with Feedback. Advent AI will process any personal data contained in Feedback in accordance with the Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation ("GDPR") where applicable.

## 12. Data Protection, Privacy, and Retention

### 12.1 Scope and Supplementary Policies

This Section 12 describes how Advent AI collects, uses, stores, discloses, and processes personal data in connection with the Services. Advent AI may publish a separate Privacy Policy and Cookie Policy on the Site providing further detail. Where published, those policies form part of these Terms and supplement this Section 12. In the event of any conflict between this Section 12 and a published Privacy Policy or Cookie Policy, the published policy governs to the extent of the conflict.

Advent AI collects and processes: account registration data (including email address and any information you provide at registration); connection and device data (including IP address, browser and device identifiers, locale, and timezone); usage data (including features accessed, queries made, and Credits consumed); wallet addresses and exchange account identifiers you connect to the Services; order and transaction metadata submitted through the Trading Interface; payment and billing data processed by our payment processors; and communications you send to us.

This data is processed to provide and operate the Services, to authenticate you and secure your account, to route your orders to Execution Venues, to enforce the geographic and eligibility restrictions described in Sections 4 and 5.9, to comply with sanctions, anti-money laundering, tax, and other legal obligations, to bill you, to improve the Services, and to communicate with you. Where you are located in the European Union or the United Kingdom, the legal bases for this processing are performance of the contract between you and Advent AI, compliance with legal obligations, your consent where specifically obtained, and Advent AI’s legitimate interests in operating and securing the Services.

Advent AI uses cookies and similar technologies to maintain your session, remember your preferences, secure the Services, and measure usage. Where required by applicable law, Advent AI will obtain your consent for non-essential cookies before setting them.

### 12.2 Data Retention

Advent AI retains personal data and account data for as long as necessary to provide the Services, comply with legal, regulatory, tax, accounting, and audit obligations, resolve disputes, and enforce these Terms. Where a Privacy Policy is published, specific retention periods will be set out in it. Agent execution logs and trading activity records are retained in accordance with Section 5.8(h) and applicable law. Advent AI may retain records of sanctions screening, geographic access controls, and compliance checks for such period as may be required to demonstrate compliance with applicable sanctions and anti-money laundering law.

### 12.3 Your Data Rights

Subject to applicable law, you may have the right to access, correct, update, port, restrict the processing of, object to the processing of, or request deletion of your personal data. Where you are located in the European Union or the United Kingdom, these rights arise under the GDPR or UK GDPR. Where you are located in Singapore, equivalent rights may arise under the Personal Data Protection Act 2012. To exercise any such right, contact us at <sub@adventai.io>.

You acknowledge that Advent AI may be unable to delete certain data where retention is required by applicable law or regulation, is necessary to establish, exercise, or defend legal claims, or relates to records of sanctions and anti-money laundering compliance. Advent AI cannot delete, alter, or recall any data recorded on a public blockchain, as such records are outside Advent AI’s control.

### 12.4 Data Sharing with Execution Venues and Partners

As described in Sections 4 and 5.9, Advent AI may share your IP address, connection metadata, wallet address, and related information with Execution Venues, protocol partners, and compliance service providers where necessary to route your orders, to enable those parties to enforce their own eligibility and sanctions controls, or to comply with applicable law. Advent AI may also share personal data with hosting, analytics, payment, and other service providers engaged to operate the Services, and with regulators, law enforcement, or courts where required by applicable law.

### 12.5 Data Processing Agreement

Where you use the Services in a capacity that involves Advent AI processing personal data on your behalf, a data processing agreement may be required. Please contact us at <sub@adventai.io> to request a data processing agreement.

### 12.6 Data Loss

Although we perform routine backups, you are solely responsible for maintaining your own records of your account activity, configurations, and trading history. You agree that Advent AI shall have no liability to you for any loss or corruption of data, and you waive any right of action arising from any such loss or corruption.

## 13. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AVAILABILITY, NON-INFRINGEMENT, OR COURSE OF DEALING.

Without limiting the foregoing, Advent AI does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results, data, or analysis obtained from the Services will be accurate, reliable, or complete; (c) any defects in the Services will be corrected; (d) the Services will meet your specific requirements or expectations; (e) any Trade Setup Output will result in profitable trades or limit losses to any particular amount, regardless of the Covered Market to which it relates; (f) the technical analysis methodologies, algorithms, or models underlying Trade Setup Outputs are or will remain effective, accurate, or suitable for any particular market condition, asset class, or asset; (g) Trade Setup Outputs for any asset, including Higher-Risk Assets, adequately reflect the full range of risks associated with trading that asset; (h) any order submitted through the Trading Interface will be transmitted, received, accepted, executed, or executed at any particular price or time; (i) Agents will operate without error, interruption, or latency, or that Agent-initiated transactions will be executed at expected prices or at all; (j) any Execution Venue will operate securely, remain available, remain solvent, or settle transactions as expected; or (k) data relating to any Covered Market, including U.S. equities, commodities, prediction markets, or cryptocurrency options, will be accurate, timely, or complete.

## 14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADVENT AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES (COLLECTIVELY, THE "ADVENT AI PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF ANTICIPATED SAVINGS, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, INABILITY TO USE, OR RELIANCE ON THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVENT AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE ADVENT AI PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO ADVENT AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (US$100).

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT THE LIABILITY OF ADVENT AI FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) WILFUL MISCONDUCT OR GROSS NEGLIGENCE; OR (D) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER PROTECTION LAWS IN YOUR JURISDICTION. WHERE ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE LIABILITY OF THE ADVENT AI PARTIES SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

You acknowledge that the Services provide market intelligence, data, Trade Setup Outputs, a non-custodial trading interface, and optional Agent Execution Services for informational, educational, and automation purposes only, and that any trading or investment decisions you make — whether made manually, submitted through the Trading Interface, or executed through an Agent — are your sole responsibility. Under no circumstances shall the Advent AI Parties be liable for any losses arising from your trading or investment decisions, whether or not such decisions were informed by, based on, or consistent with any data, analysis, or Trade Setup Output obtained through the Services, including but not limited to losses resulting from: (a) the execution of trades at or near price levels suggested in a Trade Setup Output; (b) the failure of a stop-loss level to limit losses as implied by a Trade Setup Output; (c) slippage, illiquidity, market manipulation, or other adverse market conditions; (d) reliance on Trade Setup Outputs for Higher-Risk Assets; (e) the failure of technical analysis methodologies to predict or reflect actual market movements; (f) any order submitted through the Trading Interface, including any order populated using parameters derived from a Trade Setup Output; (g) any action or inaction by an Agent, including errors, latency, unintended trades, or failure to execute; (h) the failure, exploit, hack, insolvency, suspension, delisting, liquidation action, or malfunction of any Execution Venue; (i) any restriction, freezing, or termination of your account or assets by any Execution Venue or protocol partner; (j) gas fees, network fees, funding rates, or transaction costs; or (k) the unavailability, inaccuracy, or incompleteness of data for any Covered Market.

## 15. Indemnification

You agree to indemnify, defend, and hold harmless Advent AI and its affiliates, directors, officers, employees, contractors, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content or data you provide through the Services; (e) any order or transaction submitted from your account, whether through the Trading Interface or by an Agent, and any dispute arising therefrom; (f) any breach of the representations and warranties in Sections 3.4, 3.5, 4, or 5.9; or (g) any claim by a governmental or regulatory authority arising from or in connection with your use of the Services.

## 16. Termination

We may, at our sole discretion, limit, suspend, or terminate your access to the Services at any time and for any reason, without prior notice or liability. We may also remove or disable any account or content at our discretion.

Upon termination: (a) your licence to access and use the Services shall immediately cease; (b) any active Agents deployed from your account will be deactivated, and your access to the Trading Interface will cease, provided that Advent AI shall not be liable for any transactions submitted to an Execution Venue prior to Advent AI’s processing of the termination, for any transactions confirmed on the applicable blockchain or settlement layer prior to termination taking effect, or for any delay in deactivation; (c) any unused Credits in your account shall expire without refund or compensation; (d) you must immediately discontinue all use of the Services and delete any TrueNorth Content in your possession; and (e) provisions that by their nature should survive termination shall continue to remain in full force and effect, including Sections 3.4 (Source of Funds), 3.5 (Market Integrity), 4 (Geographic Restrictions and Sanctions), 5 (Service Description and Disclaimers, including Sections 5.5, 5.7, 5.8, 5.9, and 5.10), 6 (Regulatory Status), 8 (Intellectual Property), 10.2 to 10.4 (Credits), 10.8 (Refund Policy), 10.12 (Payment Disputes), 10.13 (Promotional Credits), 11 (Feedback), 12 (Data Protection), 13 (Warranty Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 17 (Dispute Resolution), and 18 (General Provisions).

You acknowledge that termination of your access to the Services does not close, settle, or unwind any position you hold at any Execution Venue. You remain solely responsible for managing, monitoring, and closing any open positions directly with the relevant Execution Venue.

## 17. Dispute Resolution and Governing Law

### 17.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles.

### 17.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by binding arbitration. The arbitration shall be seated in the Cayman Islands and conducted in accordance with such arbitration rules as the parties may agree, or failing agreement, in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in the English language before a sole arbitrator unless the parties agree otherwise. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

### 17.3 Mandatory Local Laws

Notwithstanding the choice of governing law in Section 17.1, if you are resident in a jurisdiction whose mandatory consumer protection, data protection, or financial regulation laws cannot be contractually waived or overridden, those mandatory laws shall apply to the extent required. In particular:

1\. If you are located in the European Union or the United Kingdom, nothing in these Terms shall limit or exclude any rights you may have under the GDPR (Regulation (EU) 2016/679), the UK GDPR, the Consumer Rights Act 2015 (UK), or other mandatory consumer or data protection legislation that cannot be contractually waived.

2\. If you are located in Singapore, nothing in these Terms shall limit or exclude any rights you may have under the Personal Data Protection Act 2012 (PDPA) or other mandatory legislation administered by MAS to the extent such rights cannot be contractually waived.

3\. This Section 17.3 does not alter the governing law or arbitration provisions in Sections 17.1 and 17.2, but acknowledges that mandatory local laws may apply in addition to Cayman Islands law where required.

### 17.4 Class Action Waiver

YOU AND ADVENT AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. BOTH PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

## 18. General Provisions

### 18.1 Severability

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.

### 18.2 Entire Agreement

These Terms, together with any Privacy Policy, Cookie Policy, and any other policies or agreements published on the Site or referenced herein, constitute the entire agreement between you and Advent AI with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

### 18.3 No Waiver

The failure of Advent AI to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Advent AI.

### 18.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Advent AI. Advent AI may assign its rights and obligations under these Terms without restriction and without notice to you, including to any affiliate or in connection with any merger, acquisition, reorganisation, or sale of assets.

### 18.5 Notices

Notices to you may be made via email, in-app notification, or by posting on the Services. Notices to Advent AI must be sent to <sub@adventai.io> and, for formal legal notices, to: Advent AI, 4th Floor, Harbour Place, 103 South Church Street, P.O. Box 10240, Grand Cayman KY1-1002, Cayman Islands.

### 18.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, agency, brokerage, or fiduciary relationship between you and Advent AI.

### 18.7 Third-Party Rights

Except as expressly provided in these Terms, a person who is not a party to these Terms has no right to enforce any of its provisions.

### 18.8 Language

These Terms are published in the English language. Any translation is provided for convenience only. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.

### 18.9 Force Majeure

Advent AI shall not be liable for any failure or delay in performing any obligation under these Terms (including the provision of the Services, the operation of the Trading Interface or Agents, the availability of data for any Covered Market, or the transmission of orders) to the extent that such failure or delay is caused by circumstances beyond Advent AI’s reasonable control ("Force Majeure Events"), including: acts of God, natural disasters, pandemics, or epidemics; war, armed conflict, terrorism, sanctions, or embargoes; government actions, regulatory changes, or court orders; blockchain network outages, forks, consensus failures, or congestion; smart contract failures, oracle failures, or Execution Venue outages; cryptocurrency exchange halts, delistings, or insolvency; internet, telecommunications, or infrastructure failures; cyberattacks, distributed denial-of-service attacks, or security breaches affecting third-party infrastructure; power outages; or labour disputes or supply chain disruptions.

During any Force Majeure Event: (a) Advent AI’s affected obligations shall be suspended for the duration of the event; (b) orders may fail to transmit and Agents may be unable to execute, modify, or close positions, and Advent AI shall not be liable for any losses resulting from such inability; (c) data feeds may be delayed, interrupted, or unavailable, and Trade Setup Outputs generated during or immediately after a Force Majeure Event may be based on incomplete or stale data; and (d) Advent AI will use commercially reasonable efforts to resume normal operations as soon as practicable and, where feasible, to notify affected users of material service disruptions.
